Key provisions · Claude summary, not statute text

Gives tenant associations, nonprofits, public agencies, and qualified profit-motivated organizations a right to make an offer to purchase an assisted housing development before its owner terminates a subsidy, prepays, allows rental restrictions to expire, or sells, and sets the notice, offer, pricing, exemption, and enforcement rules.

  • Definitions. Defines “assisted housing development,” “owner,” “tenant,” “tenant association,” “low or moderate income,” “very low income,” “local nonprofit organizations,” “local public agencies,” “regional or national organizations,” “regional or national public agencies,” “use restriction,” “profit-motivated housing organizations and individuals,” “department,” “offer to purchase,” “expiration of rental restrictions,” and “qualified entity.” (a)(1)–(16)
  • Opportunity to purchase. An owner may not terminate a subsidy contract, prepay, or let rental restrictions expire, or sell or dispose of the development within five years before expiration or while eligible for prepayment or termination within five years, without first giving listed entities an opportunity to submit an offer; owners meeting § 65863.13 are exempt. (b), (c)
  • Eligible entities. Offers may come only from the tenant association, local nonprofits and public agencies, regional or national nonprofits and public agencies, and profit-motivated housing organizations or individuals. (d)
  • Qualified purchasers. A purchaser must be certified by HCD as capable of operating the housing, agree to a recorded obligation to maintain affordability for 30 years or the remaining term of assistance (whichever is greater) at the existing occupancy percentages, and, for local nonprofits and agencies, have no officer or director with a financial interest in developments that dropped low-income restrictions. (e)
  • Economic feasibility. If the development is not economically feasible as determined by all entities with regulatory agreements, the purchaser may remove units from rent and occupancy requirements as necessary, then re-designate the next available units once feasible again. (f)
  • Notice of opportunity. The owner must give notice of the opportunity to offer to purchase to each qualified entity on HCD’s list and those who contact the owner, before or with the 12-month notice under § 65863.10 and for at least 12 months, by registered or certified mail, and post it in the common area. (g)
  • Notice contents. The notice must state whether the owner intends to keep current affordability and whether a contract of at least five years with a public entity exists, the entities’ right to offer, and that the owner will provide within 15 business days operating expenses, capital improvements, reserves, inspection reports, rent roll, vacancy rates, and financing/subsidy terms (unless 25 percent or fewer units are restricted), and that § 65863.10(b) notice is satisfied. (h)
  • Bona fide offers. A qualified entity must submit a bona fide offer at market value within 270 days, identify its type, and certify qualification under penalty of perjury; the owner must notify HCD of offers within 90 days and either accept one or record a new regulatory agreement of at least 30 years meeting § 65863.13(a), and must take reasonable steps to renew subsidies. (i)
  • Market value. Market value is set by negotiation or, failing agreement, by independent HCD-certified appraisals of highest and best use under current zoning; appraisals within 5 percent use the higher value, otherwise the appraisers negotiate or a jointly selected third appraiser’s value is binding. (j)
  • No offers. If no bona fide offer is received within 270 days or all are withdrawn, the owner may sell to any buyer, extend affordability restrictions, or keep the property and let expiration, termination, or prepayment occur. (k)
  • Exceptions. The section does not apply to eminent domain or negotiated government purchase, foreclosure, gift/devise/operation of law, sales to intestate heirs, certified financial emergencies, or (except annual certification) developments with 30 percent or fewer restricted units that receive local assistance under § 65863.10(a)(3)(N)(iv)–(viii) or were built under a local inclusionary requirement. (l), (q)
  • Sale certification. Before closing a sale to a non-qualified purchaser, the owner must record a certification under penalty of perjury of compliance with this section and § 65863.10; escrow agents are not liable absent actual knowledge or contrary instructions. (m)
  • HCD duties. HCD must maintain a rights summary form and a publicized list of interested entities, monitor compliance and report annually to the Legislature, and refer violations to the Attorney General; owners of developments with at least 5 percent restricted units must certify compliance annually. (n)
  • Enforcement. Affected tenants, qualified entities, tenant organizations or associations, and adversely affected public entities may enforce the section in law or equity, with bond waiver and attorney’s fees available; owners may rely on claims of qualified status absent actual knowledge. (o)
  • Federal law; HCD standards. The section supplements, but does not preempt, federal law, and HCD may adopt standards, forms, and definitions exempt from the Administrative Procedure Act. (p), (r)
